Terms and Conditions
The Renter wishes to use and occupy the professional photography/videography studio space of Studio East, located at the address below (the "Premises"), and Studio East agrees to grant a license for such use upon the terms and conditions of this Rental License Agreement (this "Agreement"). Renter's failure to comply with this Agreement shall result in immediate revocation of this license without refund.
1. Payment
Renter will pay $1000 per 10-Hour Day. Overtime will be charged at $50 per hour. At the time of the reservation the Renter will pay a non-refundable 25% deposit to Studio East. All invoices are due upon receipt unless terms have been granted by Studio East. Renter agrees to pay a late fee of 8% per month on all overdue balances. Renter also agrees to pay any and all costs, including collection and/or legal fees incurred by Studio East in its effort to collect past due charges from Renter. If Renter must cancel the reservation, Renter will be responsible for payment of reservations cancelled with less than 49 hour notice. If Renter gives 25-48 hours’ notice, Renter will pay 50% of the daily studio rental rate. If Renter gives 24- or less-hour notice, or no notice, Renter pays 100% of the daily studio rental rate. Renter is responsible for all non-refundable 3rd party rentals, purchases, services and catering orders, procured by Studio East pursuant to Renter’s quote and / or invoices referenced below.
Renter must pay all fees incurred from its production upon receipt of invoice. Studio East will only bill Renter directly and no third parties. Studio East will charge Renter’s credit card on file for any outstanding balance (5) days after final invoice unless terms are agreed upon.
Rental Rates include, and subject to,
● Crews exceeding 15 persons subject to approval● Call times begin at 8am● Overtime billed at $50 per hour after the initial 10 hours● Weekend shoots will incur an additional fee of $300 per day● Studio to be left broom clean upon exit. Failure to do so will incur a cleaning fee of $125● Excess garbage is responsibility of renter or $125 fee for pickup and disposal● Payments made using a credit card incur a 3% convenience fee for each rental day
2. Length of Use
Each standard day consists of a 10-hour block of time, inclusive of time for loading in or out. The minimum rental period is One day. Upon departure at the end of the rental period, the Premises must be completely vacated. Failure to comply will result in an additional charge for Overtime. If the Rental Period is for multiple days, equipment may be left overnight in the Premises, but at the sole risk of the Renter and subject to the Indemnification and Insurance provisions, herein.
Rental space includes:
● Shooting areas throughout 2,500 sq. ft. studio● Height clearance of 16’ in shooting area● Complimentary use of the Studio’s camera stand, ten (10) C-stands, and white seamless● Elevator access● Parking spaces for up to 10 vehicles● Free wi-fi● Conference area● In-studio kitchenette overlooking shooting space
3. Terms of Use
Use of Studio East and use of Studio East equipment is AT RENTER’S OWN RISK. Renter hereby waives rights to seek legal redress for mishaps, accidents, and/or loss while on our premises. Renter agrees to leave the studio and adjacent grounds in the same condition as they were when Renter arrived. Renters are solely responsible for any legal infractions Renter or members of Renter’s party make during the conduct of the shoot, be they in our studio or elsewhere. This includes parking tickets, all other violation or citations, and legal action resulting from the conduct of the shoot, taken at whatever time. Renter agrees to hold harmless Studio East, its owner, agents, representatives, and contractors acting on its behalf for any loss, accident, or injury to Renter’s self or anyone who accompanies Renter while on our premises. Renter agrees to be solely responsible for the conduct and welfare of all persons accompanying Renter while on our premises. Renters are solely responsible for the safety and well-being of any models Renter engages. Renter understands that if Studio East observes dangerous, pornographic, or negligent practices or activities are being engaged in Studio East reserves the right to stop the shoot and require Renter and Renter’s party to leave immediately — HOWEVER, Studio East assumes NO RESPONSIBILITY to act in such cases. Renter agrees to hold Studio East, its agents, representatives, and anyone acting on behalf of Studio East completely harmless from any action, legal or otherwise, that results from Renter’s conduct. Renters are solely responsible for verifying that all models employed during Renter’s rental period are of legal age for the activities they are to be engaged in. Studio East has no responsibility to determine or verify the age of participants in the renter’s activities but reserves the right to end those activities if it becomes aware that legal age violations are on-going. Renter agrees that a Studio East representative has the right to be present in the studio at all times Renters are using it.
4. Responsibilities – Equipment / Props
Renter is responsible for proper and safe usage of all equipment and props, in the event Renter utilizes or rents equipment and props from Studio East. All equipment and props are offered for inspection. Failure to inspect waives Renter's right to claim that any equipment/prop was not in conformity and in good state of repair at time of delivery.
Studio East and Renter will identify which goods & services Renter requires and list them, with pricing, where applicable, on a separate quote/invoice. Once Renter accepts said quote/invoice, it is incorporated by reference hereto. Renter’s acceptance of said quote/invoice is made by a signature from the following individual:
Studio East will count and inspect all equipment/prop returns. Renter accepts responsibility for damage beyond normal wear and tear. If any equipment/prop is lost, destroyed or for any reason not returned to Studio East, Renter agrees to pay Studio East the replacement value. If the equipment/prop is returned but damaged or has parts missing, Renter shall pay all repairs and the replacement value of said missing parts. Renter may also be liable for lost rental time incurred in repairing damaged equipment/props. If renter fails to return equipment/prop when due without arranging and paying for additional rental period, Studio East may declare Renter in default and shall have right to reclaim said equipment/prop from Renter and recover all damages, temporary and permanent replacement costs and reasonable attorney's fees incurred in the recovery thereof. Renter waives any claim for damage resulting from such actions.
In no event is the Renter authorized to hang props from the ceiling without obtaining prior written consent from Studio East, LLC. In the event renter fails to comply with this provision, this agreement shall be terminated forthwith and all funds paid by renter are deemed surrendered. Any damage caused by Renter as a result of unauthorized acts by Renter shall be the sole financial responsibility of the Renter and any of its principals and/or authorized agents, including but not limited to the cost of attorney fees should it become necessary to collect for damages caused by Renter.
BE ADVISED THAT THE PREMISES IS MONTIORED BY CCTV OR OTHER VIDEO RECORDING DEVICES AT ALL TIMES.
5. Insurance
Studio East requires all Renters to carry commercial general liability insurance in the amount US $1,000,000 Each Occurrence / $2,000,000 Aggregate and US $1,000,000 Third Party Property Damage. Full replacement cost of rented equipment on an All Risk, Replacement Cost basis. Limit must be equal to or greater than the replacement value of total equipment being rented.
A current certificate of insurance must be on file with Studio East no less than 24 hours before the start of any rental period. Without a COI on file Renter will not be able to work in the space but may still be liable for confirmed rental charges.6. Miscellaneous
This Agreement incorporates the entire understanding and agreement between the Client and the Company. Any modifications of this Agreement must be in writing and signed by both parties. Any waiver of a breach or default hereunder shall not be deemed a waiver of a subsequent breach or default of either the same provision or any other provision of this Agreement. The laws of the Commonwealth of Massachusetts shall govern this Agreement. The parties have read both this entire Agreement, agree to all its terms, and acknowledge receipt of a complete copy of the Agreement signed by both parties. Each person signing as Client below shall be fully responsible for ensuring that full payment is made pursuant to the terms of this Agreement.
